Terms of Use
Please read these Terms carefully before using the Mesh Native Exchange platform. By accessing the Platform, you agree to be bound by these Terms.
1. Agreement to Terms
By accessing or using the Mesh Native Exchange platform ("Platform"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree, you may not use the Platform. These Terms constitute a legally binding agreement between you and Vital Exchange, Inc. ("Company," "we," "us," or "our"). The Platform facilitates Vital-to-fiat settlement, compute credit redemption, and API-based integrations within the Distributed Intelligence Stack.
2. Eligibility
You must be at least 18 years of age and legally capable of entering into binding contracts to use this Platform. By using the Platform, you represent and warrant that you meet these requirements. The Platform is intended for institutional and enterprise users, including financial institutions, technology companies, and qualified developers. Consumer use is not the intended purpose of this Platform.
3. Permitted Use & Prohibited Conduct
You may use the Platform solely for lawful institutional settlement, compute-credit exchange, and API integration purposes. You agree not to: (a) use the Platform for money laundering, terrorist financing, sanctions evasion, or any activity prohibited by applicable law; (b) reverse engineer, decompile, or disassemble any component of the Platform; (c) attempt unauthorized access to any system, network, or account; (d) transmit malicious code, malware, or disruptive data; (e) use the Platform in a manner that circumvents AML, KYC, or OFAC obligations; or (f) resell or sublicense Platform access without prior written consent.
4. Accounts & API Keys
You are responsible for maintaining the confidentiality of your account credentials and API keys. You agree to notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that breach these Terms or engage in fraudulent, abusive, or suspicious activity. API keys are non-transferable and tied to the registered entity. Any use of your API key, whether authorized or not, is your responsibility.
5. Financial Transactions & Settlements
Vital-to-fiat settlement transactions processed through the Platform are subject to applicable banking regulations, including but not limited to BSA/AML requirements, FinCEN reporting obligations, OFAC sanctions compliance, and applicable state money transmission laws. Settlement finality is governed by the rail used (ACH, SWIFT, SEPA, FedWire, or RTP). The Company is not a bank, money services business, or investment adviser. All financial transactions are processed through licensed banking partners. Exchange rates are determined at the time of settlement and are not guaranteed.
6. Compliance Obligations
Enterprise and bank users are required to maintain their own AML/KYC programs, cooperate with our compliance requests, and provide accurate beneficial ownership information. You agree to comply with all applicable laws and regulations including the Bank Secrecy Act (BSA), USA PATRIOT Act, Dodd-Frank Act, and any applicable state money transmission regulations. We reserve the right to file Suspicious Activity Reports (SARs) and Currency Transaction Reports (CTRs) as required by law.
7. Intellectual Property
All content, code, APIs, documentation, trademarks, and technology on the Platform are the exclusive property of Vital Exchange, Inc. or its licensors. Nothing in these Terms grants you any right, title, or license to our intellectual property except a limited, non-exclusive, non-transferable right to use the Platform as expressly permitted herein. Feedback you provide regarding the Platform may be used by us without restriction or compensation.
8. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DISCLAIM ALL LIABILITY FOR SETTLEMENT DELAYS, RAIL OUTAGES, OR THIRD-PARTY BANKING FAILURES.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VITAL EXCHANGE, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM. OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless Vital Exchange, Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Platform; (b) your breach of these Terms; (c) your violation of any applicable law or third-party right; or (d) any transaction you process through the Platform.
11. Termination
We may suspend or terminate your access to the Platform at any time, with or without cause or notice, including for breach of these Terms, suspicious activity, regulatory requirements, or business reasons. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination shall survive, including Sections 5, 6, 7, 8, 9, 10, and 13.
12. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising out of or related to these Terms or the Platform shall be resolved by binding arbitration administered by JAMS under its Commercial Arbitration Rules, except that either party may seek injunctive relief in any court of competent jurisdiction. The arbitration shall take place in New York, NY. You waive any right to a jury trial or class action proceeding.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date and, where appropriate, by email or in-app notification. Your continued use of the Platform after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform.
